1) Introduction & Agreement

Welcome to totient.in (the “Website”). These Terms of Use (the “Terms”) are a legally binding agreement between Totient Business Solutions Pvt Ltd (“Totient,” “we,” “us,” or “our”) and you (“you” or “user”) governing your access to and use of the Website and any products, services, content, tools, or applications we make available (collectively, the “Services”).

By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy (together, the “Agreement”). If you do not agree, do not use the Services.

2) Eligibility & Accounts

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Services. If you use the Services on behalf of an entity, you represent you are authorized to bind that entity to the Agreement.
Some features may require an account. You agree to provide accurate information, keep your credentials confidential, and promptly notify us of any unauthorized use. You are responsible for all activities under your account.

We may modify the Services or these Terms at any time. Changes take effect when posted on this page with the “Last updated” date revised. Your continued use means you accept the updated Terms.

4) Permitted Use & Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You will not:

We may suspend or terminate access where we reasonably believe these Terms have been breached.

We grant you a limited, revocable, non-transferable license to access and use the Services for your personal or internal business use in accordance with these Terms. No other rights are granted.

6) Your Content

If you submit or post content (“User Content”), you retain your rights, but grant Totient a worldwide, non-exclusive, royalty-free license to host, use, reproduce, modify, display, and create derivative works as necessary to provide and improve the Services. You represent that you have all rights necessary and that your User Content does not violate law or third-party rights.

7) Feedback

If you send us ideas, suggestions, or comments (“Feedback”), you agree we may use them without restriction or compensation.

8) Third-Party Links & Services

The Services may link to or integrate third-party websites or services. We do not endorse or control them and are not responsible for their content or practices. Your use is at your own risk and may be governed by separate terms.

9) Fees, Payments & Subscriptions (if applicable)

Pricing & Taxes. Fees will be shown at checkout or in an order form and may change. Taxes may apply.
Billing & Renewal. If your plan auto-renews, you authorize recurring charges until you cancel per the instructions in your account or order form.
Refunds. Unless required by law or stated otherwise, fees are non-refundable.

10) Compliance, Export & Sanctions

You agree to comply with all applicable laws and regulations, including export control and sanctions laws. You represent that you are not located in or a resident of any country or list where access is prohibited.

11) Privacy

Your use of the Services is subject to our Privacy Policy, which explains how we collect, use, and share information.

12) Disclaimers

To the maximum extent permitted by law, the Services are provided on an “as is” and “as available” basis, without warranties of any kind—express, implied, or statutory—including merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant uninterrupted, secure, or error-free operation, or that defects will be corrected.

13) Limitation of Liability

To the maximum extent permitted by law, Totient and its directors, officers, employees, agents, and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, data, use, goodwill, or other intangible losses, arising out of or related to your use of or inability to use the Services. Our total liability for any claim will not exceed the amount you paid to us (if any) for the Services in the three (3) months preceding the event giving rise to the claim.

14) Indemnity

You agree to defend, indemnify, and hold harmless Totient and our affiliates, officers, directors, employees, and agents from claims and expenses arising from (a) your use of the Services; (b) your violation of these Terms; or (c) your infringement of any third-party rights.

15) Termination

We may suspend or terminate your access at any time, with or without notice, if we reasonably believe you have breached these Terms or for operational, security, or legal reasons. Upon termination, Sections 4–7 and 9–18 survive.

16) Copyright & Takedown

If you believe content on the Services infringes your copyright, please send a notice with details of the alleged infringement, your contact information, and a good-faith statement to info@totient.co.in. We will review and act in accordance with applicable law.

18) Governing Law & Dispute Resolution

These Terms are governed by the laws of India. Subject to any mandatory arbitration in an order form (if applicable), the courts at Bengaluru, Karnataka have exclusive jurisdiction.

Optional: Prior to litigation, the parties will attempt in good faith to resolve disputes through negotiation for 30 days.

19) Miscellaneous

Entire Agreement: These Terms and the Privacy Policy are the entire agreement regarding the Services.
Severability: If any provision is invalid, the rest remain in effect.
No Waiver: A failure to enforce any right is not a waiver.
Assignment: You may not assign your rights or obligations; we may assign to an affiliate or in connection with corporate actions.
Force Majeure: We are not liable for delays or failures due to events beyond our reasonable control.
